Terms of Service

Services: The VOZCLA website, desktop application, and any related products, features, and services (collectively, the “Services”).
1) Agreement to These Terms
By accessing or using the Services, you agree to these Terms of Service (“Terms”) and any policies referenced in them, including our Privacy Policy (when published). If you do not agree, do not use the Services.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to the organization and its authorized users.
2) Definitions
“Account” means your registered user account for the Services.
“Content” means any information you submit, upload, transmit, or generate through the Services, including text, audio, files, prompts, transcripts, and Outputs.
“Input” means Content you provide to the Services (e.g., dictated audio, highlighted text, pasted text).
“Output” means Content generated by the Services (e.g., transcripts, rewrites, summaries, explanations, text-to-speech audio).
“Plan” means a free, trial, or paid tier, including its pricing, features, and usage limits.
“Usage” means measured consumption of the Services (for example, minutes of audio processed, words rewritten, characters synthesized, requests, tokens, or other metered units).
3) Eligibility
You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with permission of a parent or legal guardian.
You may not use the Services if you are prohibited from doing so under applicable laws, sanctions, or export-control regulations.
4) Privacy, Data, and Your Choices
We care about trust. VOZCLA is built to help you work faster—not to misuse your data.
4.1 What we may process
To provide the Services, we may process:
- Account information (email, authentication info, plan status)
- Payment information (handled by our payment processor; we typically do not store full card details)
- Usage data (to enforce plan limits, prevent abuse, and operate billing)
- Inputs and Outputs (to deliver the features you request)
- Technical logs (security, debugging, reliability)
4.2 Why we store Content
We may store Inputs and Outputs for:
- Providing the service to you (e.g., saving transcripts, enabling history, syncing across devices if offered)
- Support and troubleshooting (e.g., investigating errors you report)
- Safety, abuse prevention, and security
- Improving the Services (e.g., making transcription, rewriting, and commands more accurate and reliable)
We do not sell your Content.
4.3 Improving models and service quality (and your opt-out)
We may use stored Content to improve our systems (including models, prompts, pipelines, and product quality), but you can opt out of having your Content used for improvement beyond providing the service.
Opt-out: If you opt out (via in-app settings if available, or by emailing info@vozcla.ai), we will not use your Content to improve or train our systems beyond what is necessary to provide, secure, maintain, and support the Services for you.
Still required processing: Even if you opt out, we may still process and store Content as needed to:
- deliver the features you requested,
- enforce limits and prevent abuse,
- comply with law, and
- maintain security and reliability.
4.4 De-identification and aggregation
When feasible, we may use de-identified or aggregated data to improve performance and reliability (for example, measuring latency, error rates, or overall accuracy trends). De-identified data is data we process to reduce direct identification.
4.5 Retention and deletion
We retain Content and logs only as long as reasonably necessary to:
- provide the Services,
- resolve support requests,
- enforce these Terms,
- comply with legal and accounting obligations, and
- maintain security.
You may request deletion of stored Content or your Account by contacting info@vozcla.ai. Some records (e.g., billing, tax, fraud prevention, security logs) may be retained as required by law or for legitimate business purposes.
5) Accounts and Security
You are responsible for:
- maintaining the confidentiality of your Account credentials,
- all activity that occurs under your Account, and
- ensuring your Account information is accurate and current.
Notify us immediately at info@vozcla.ai if you believe your Account has been compromised.
We may require reasonable security steps (verification, rate limits, device checks) to protect the Services and users.
6) The Services and Changes
The Services may include features such as speech-to-text, text rewriting, summarization, explanation, smart commands, text-to-speech, desktop overlay workflows, and related tools.
We may modify, update, or discontinue parts of the Services at any time, including features, integrations, models, or availability. We may also introduce new limits or safeguards to prevent abuse or maintain reliability.
Some features may be labeled beta or experimental and may change frequently or be less stable.
7) Desktop App License (EULA-style)
If you download or use the VOZCLA desktop application (“Desktop App”), we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Desktop App for your internal lawful purposes in accordance with these Terms.
7.1 Restrictions
You may not:
- copy, modify, distribute, sell, lease, or sublicense the Desktop App (except as permitted by law),
- reverse engineer, decompile, or attempt to derive source code, underlying models, or proprietary methods (except where prohibited by law),
- bypass or circumvent authentication, licensing, usage limits, or security protections,
- interfere with or disrupt the Desktop App or Services.
7.2 Updates
The Desktop App may automatically update to improve security and functionality. You agree to receive updates unless your system settings prevent it.
7.3 Permissions
The Desktop App may request access to system features (e.g., microphone, accessibility APIs, overlays, hotkeys, clipboard, file access) depending on features you enable. You control your system permissions and should enable only what you understand and agree to.
8) Acceptable Use
You agree not to use the Services to:
- violate any law or regulation,
- infringe intellectual property or privacy rights,
- generate or distribute malware, phishing, scams, or other harmful content,
- harass, threaten, or abuse others,
- attempt unauthorized access to accounts, systems, or networks,
- disrupt the Services (e.g., load testing, scraping, botting, or other abusive behavior),
- evade plan limits, quotas, paywalls, or safety controls, including creating multiple accounts to bypass restrictions.
Recording and consent: If you use speech features, you are responsible for complying with all laws regarding recording and consent, including obtaining permission from participants when required.
9) AI Outputs: Important Disclaimers
The Services may generate Outputs automatically. You understand and agree:
- Outputs may be incorrect. AI can produce inaccurate, incomplete, misleading, or inappropriate content.
- You must verify. You are responsible for reviewing and verifying Outputs before relying on them.
- No professional advice. Outputs are not medical, legal, financial, or other professional advice.
- Not for high-risk use. Do not use Outputs as the sole basis for decisions that could cause harm (health, safety, legal rights, finances, emergencies, etc.).
- Similarity. Outputs may be similar to content generated for other users.
10) Usage Limits, Metering, and Fair Use
Your Plan may include usage limits (for example, minutes, words, characters, requests, tokens). Usage is measured by our systems and is used to enforce plan limits and billing.
We may throttle, pause, or restrict usage that we reasonably believe is abusive or threatens service stability, even if it does not clearly violate a specific rule.
11) Subscriptions, Billing, and Taxes
11.1 Auto-renewal
Paid subscriptions renew automatically at the end of each billing cycle unless you cancel before renewal. By purchasing a subscription, you authorize us (and our payment processor) to charge your payment method on a recurring basis.
11.2 Trials and promotions
Trials or discounts may be offered at our discretion. If a trial converts to a paid subscription, you may be charged automatically at the end of the trial unless you cancel beforehand.
11.3 Taxes
Prices may exclude taxes. You are responsible for any applicable taxes unless required otherwise.
11.4 Price and plan changes
We may change pricing or plan features. If changes apply to your subscription, we will provide reasonable notice where required. Changes typically apply at the next renewal.
11.5 Cancellation
You can cancel your subscription according to the cancellation method made available in your account or by contacting info@vozcla.ai. Unless stated otherwise at purchase, cancellation stops future renewals and you will typically retain access until the end of your current paid period.
12) No Refunds
All payments are final and non-refundable, including for partially used periods, unused time, downgrades, or changes of mind, except where required by law.
If you believe you were charged incorrectly (duplicate charge, incorrect plan, unauthorized payment), contact info@vozcla.ai promptly and we will review.
13) Chargebacks and Payment Disputes
If you initiate a chargeback or payment dispute, we may suspend access to the Services while the dispute is pending. If the dispute is resolved in our favor, you agree to reimburse us for the disputed amount and any fees incurred, to the extent permitted by law.
14) Third-Party Services
The Services may rely on third-party providers (e.g., payment processing, hosting, analytics, speech providers). Third-party services may have their own terms and privacy practices. We are not responsible for third-party services outside our control.
15) Intellectual Property
The Services (including software, design, branding, and proprietary systems) are owned by Nest Finance LLC and its licensors and are protected by intellectual property laws. You do not receive any ownership rights in the Services.
Your Content: As between you and us, you retain your rights in your Inputs. Subject to these Terms, you grant us a worldwide, non-exclusive license to host, store, process, transmit, and display your Content to provide, secure, support, and improve the Services, consistent with Section 4 and your opt-out choices.
16) Feedback
If you provide feedback, suggestions, or ideas, you grant us a perpetual, worldwide, royalty-free license to use them without restriction or compensation.
17) Copyright (DMCA)
If you believe content on the Services infringes your copyright, contact info@vozcla.ai with:
- identification of the copyrighted work,
- identification of the allegedly infringing material and its location,
- your contact information,
- a statement of good-faith belief the use is unauthorized, and
- a statement, under penalty of perjury, that your notice is accurate, plus your signature (physical or electronic).
We may remove content and terminate repeat infringers where appropriate.
18) Suspension and Termination
You may stop using the Services at any time.
We may suspend or terminate your access if we reasonably believe:
- you violated these Terms or the law,
- your use creates risk or harm to the Services, other users, or our business, or
- we must do so for security or legal compliance.
Upon termination, your license to use the Services ends. Sections that by their nature should survive termination will survive (including payment obligations, IP, disclaimers, limitation of liability, indemnification, and dispute terms).
19) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Services will be uninterrupted, secure, or error-free, or that Outputs will be accurate or reliable.
20) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU PAID NOTHING, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations, so these limits may not fully apply to you.
21) Indemnification
You agree to defend, indemnify, and hold harmless Nest Finance LLC and its owners, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your use of the Services,
- your Content,
- your violation of these Terms, or
- your violation of any law or third-party right.
22) Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Unless required otherwise by applicable law, any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Texas, and you and we consent to personal jurisdiction and venue there.
23) Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice (for example, by posting on our website or emailing account holders). Continued use of the Services after changes take effect means you accept the updated Terms.
